Nordhealth AS – Resolution to increase Share Capital

6 April 2022 – On the 14th March 2022, Nordhealth AS (the "Company") announced the acquisition of Vetera and a 19.26% stake in Pet Leo and today announces an increase in the share capital by issuing consideration shares to partially settle the transaction.

Further reference is made to the stock exchange announcement on 14 March 2022 by Nordhealth AS regarding the Company’s acquisition of Vetera and a 19.26% stake in Pet Leo. The signed acquisition is subject to customary closing conditions with expected closing during Q2 2022.

The share capital increase pertaining to the NOK 5,441,779.86 reinvestment by key employees and owners (the “Reinvestment”) was resolved by the Board of Directors of the Company (the "Board") today, on 6 April 2022 pursuant to an authorization granted by the Company's general meeting held 17 February, 2022. The Reinvestment is considered to be in the best interest of the Company and its shareholders, taking into account the expected values added to the group through completion of the acquisition and the incentives alignment for management.

The share capital will be increased by NOK 191,747, divided into 191,747 Class A shares, each with nominal value of NOK 1.00. Following registration of the share capital increase pertaining to the Reinvestment, the Company will have a share capital of NOK 80,191,746, divided into 45,191,747 Class A shares and 34,999,999 Class B shares, each with nominal value of NOK 1.00. The subscription price is NOK 28.38 per share of which NOK 1.00 is share capital and NOK 27.38 is share premium/other paid-in equity. The total subscription amount is NOK 5,441,779.86 of which NOK 191,747 is share capital and NOK 5,250,032.86 is share premium/other paid-in equity.
